1. INTRODUCTION & ACCEPTANCE OF TERMS

This Master Services Agreement (“Agreement”) governs the use of services provided by Web Presence Nevada, Inc., DBA MORBiZ (“MORBiZ,” “Company,” “we,” “us”).

By signing, electronically accepting, or using MORBiZ services, you (“Client,” “you,” or “your”) agree to be legally bound by this Agreement.

If you are entering into this Agreement on behalf of a business entity, you represent that you have authority to bind that entity.


2. SERVICES PROVIDED

MORBiZ provides digital marketing and technology services, which may include:

  • Website design and hosting
  • Search engine optimization (SEO)
  • Google Ads / paid advertising management
  • Reputation management
  • Call tracking and analytics (via third-party providers including AvidTrak)
  • CRM integrations and reporting tools

Services may be supplemented, modified, or expanded at any time.


3. THIRD-PARTY SERVICES (INCLUDING AVIDTRAK)

Certain services are powered by third-party providers, including but not limited to call tracking platforms such as AvidTrak.

3.1 Acknowledgment

You acknowledge that:

  • MORBiZ does not own or control third-party platforms
  • Your use of those platforms is subject to their terms and policies
  • MORBiZ is not liable for outages, errors, or limitations caused by third parties

3.2 Call Tracking & Telecommunications Compliance

If call tracking or calling features are used, you agree to comply with all applicable laws, including:

  • Telephone Consumer Protection Act (TCPA)
  • Do Not Call (DNC) regulations
  • State and federal call recording laws

You are solely responsible for:

  • Obtaining proper consent before contacting individuals
  • Maintaining records of consent
  • Honoring opt-out requests


4. CLIENT RESPONSIBILITIES

You agree to:

  • Provide accurate business and contact information
  • Maintain access to accounts (Google, website, hosting, etc.)
  • Approve campaigns, content, and strategies
  • Comply with all applicable laws and regulations

You are fully responsible for:

  • Advertising content
  • Claims made in ads or on your website
  • Any legal compliance related to your industry


5. FEES & PAYMENT TERMS

5.1 Fees

You agree to pay all fees outlined in your service agreement, proposal, or invoice.

5.2 Billing

  • Billing is monthly unless otherwise stated
  • Payments are automatically charged to the payment method on file
  • Fees are non-refundable unless otherwise agreed in writing

5.3 Late Payments

  • Accounts past due may be suspended
  • Services may be terminated for non-payment

5.4 Third-Party Costs

You are responsible for:

  • Ad spend (Google, Meta, etc.)
  • Call tracking usage fees
  • Any third-party platform costs


6. TERM & TERMINATION

6.1 Term

This Agreement begins on the service start date and continues month-to-month unless otherwise stated.

6.2 Termination

Either party may terminate with 30 days written notice, unless otherwise agreed.

MORBiZ may terminate immediately if:

  • You violate this Agreement
  • You fail to pay fees
  • You engage in unlawful or abusive practices


7. INTELLECTUAL PROPERTY

  • MORBiZ retains ownership of all proprietary systems, processes, and materials
  • Client retains ownership of their brand assets and content
  • Upon full payment, website content created specifically for Client may be transferred (excluding proprietary frameworks or tools)


8. MARKETING USE

You grant MORBiZ permission to:

  • Use your business name, logo, and results
  • Showcase your project in marketing materials


9. DISCLAIMER OF WARRANTIES

All services are provided “as is” without guarantees.

MORBiZ does not guarantee:

  • Rankings on search engines
  • Lead volume or revenue
  • Platform availability (Google, AvidTrak, etc.)


10. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • MORBiZ is not liable for indirect or consequential damages
  • Total liability is limited to fees paid in the previous 12 months


11. INDEMNIFICATION

You agree to defend and indemnify MORBiZ against any claims arising from:

  • Your advertising content
  • Your use of services
  • Violations of laws (including TCPA and privacy laws)


12. CONFIDENTIALITY

Both parties agree to protect confidential information and not disclose it without consent.


13. INDEPENDENT CONTRACTOR

MORBiZ operates as an independent contractor. Nothing in this Agreement creates a partnership or employment relationship.


14. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Nevada.


15. MODIFICATIONS

MORBiZ may update this Agreement at any time. Continued use of services constitutes acceptance.


16. ENTIRE AGREEMENT

This Agreement, along with any proposals or service addendums, represents the full agreement between the parties.


17. ACCEPTANCE

By signing or using MORBiZ services, you acknowledge that you have read, understood, and agree to this Agreement.
